Terms of Service

1. Services Provided

Our studio provides custom software development, consulting, and maintenance services. The specific scope of work, timelines, and deliverables for any project will be outlined in a separate Statement of Work (SOW) or Service Agreement.

2. Fees and Payment

Clients agree to pay all fees specified in the SOW. Unless otherwise stated, invoices are due within 15 days of receipt. Late payments may incur interest at a rate of 1.5% per month.

3. Development Methodology & AI Integration

To provide high-quality, efficient, and modern software solutions, our studio employs an advanced development methodology:

AI-Augmented Development: We utilize Artificial Intelligence (AI) agents and Large Language Models (LLMs) to assist in generating code, documentation, and architectural patterns.

Human Oversight: All AI-generated outputs are subject to rigorous review, testing, and refinement by our human engineering team to ensure security, performance, and adherence to project requirements.

Client Consent: By entering into an agreement with us, the Client explicitly consents to this methodology. We maintain that the final deliverable remains the professional responsibility of our studio, regardless of the tools used in its creation.

4. Intellectual Property

Upon full payment of all fees, the bespoke code and deliverables created specifically for the Client shall be owned by the Client, subject to any pre-existing "Background Technology" or open-source libraries used during development.

5. Limitation of Liability

To the maximum extent permitted by law, our studio shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our services or the software developed, even if advised of the possibility of such damages.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our studio is registered, without regard to its conflict of law provisions.
